Calder Capital is delighted to announce the successful acquisition of American Gear & Engineering, Inc. and Tech Tool Company, Inc. of Westland, Michigan by B&D Industrial of Macon, Georgia.
American Gear & Engineering is a leading gear manufacturer located in Westland, MI, and was founded by the current owner, Jeff Emerson, in 1985. Tech Tool was later strategically acquired by Jeff in 2015 as it offered complementary racking services to American Gear. With retirement on the horizon and plans to enjoy more time in Northern Michigan, Jeff enlisted Calder Capital to find a suitable successor for his companies.
B&D Industrial is a leading independent distributor and service provider specializing in industrial applications. Aligned with B&D Industrial’s mission to offer comprehensive solutions to its customer base, this acquisition further establishes its position as a leader in the industrial sector.
When asked what excited B&D Industrial’s CEO, Brian Davis about the acquisition, he commented “It creates an opportunity for us to do three things. First, it achieves a degree of vertical integration in one of our most critical areas of the business, gearing. Second, it allows us to expand our geographic and industry footprint in terms of a customer base. Lastly, it gives us a broader scope of products and services to sell to existing customers. It is the largest step we have made yet in pursuit of our strategic objectives.”
Marc Blom of Calder Capital served as the lead Mergers and Acquisitions Advisor to American Gear & Engineering, Inc. and Tech Tool Company, Inc.
“We are thrilled to have facilitated the strategic union between American Gear & Engineering and B&D Industrial. This acquisition not only aligns with B&D’s mission to broaden its scope as a comprehensive solutions provider but also ensures the legacy of American Gear & Engineering continues to thrive under new stewardship,” Marc remarked. “We believe this partnership marks a significant milestone in the industry and promises a future of innovation and growth for both entities. Congratulations to all parties involved!”
“It’s critical to have intermediary involvement that is representing the seller for any business, but a business like American Gear especially,” Brian Davis noted. “Marc was responsive and helpful in facilitating the obtaining of data needed for due diligence, ensuring that the seller understood some of the procedures involved, and helping to remove some of the emotion from what is one of the biggest events in a person’s life. He was professional and easy to work with, and I was grateful that he was involved.
“Congratulations to American Gear and B&D Industrial on an excellent synergistic fit!” commented Calder Founder Max Friar. “Thank you to advisor Marc Blom for working so determinedly to get the transaction across the finish line. It is always excellent to add another manufacturing transaction to Calder’s roster.”
Calder Capital, LLC served as the exclusive Mergers and Acquisitions Advisor to American Gear & Engineering, Inc. and Tech Tool Company, Inc.
The terms of the transaction were not disclosed.
